1. Agreement to terms
These Terms of Service ("Terms") form a legally binding agreement between you (the business or individual using the service, "you") and Apaxaa ("we", "our", "us"), governing your access to and use of Vernsa for Business ("the Service").
By creating a business account, using the Service, or continuing to use the Service after these Terms have been updated, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
Our Privacy Policy and Cookie Policy also apply to your use of the Service and are incorporated into these Terms by reference.
2. Eligibility
To use Vernsa for Business, you must:
- Be at least 18 years old, or the age of legal majority in your jurisdiction.
- Have the legal authority to bind your business to these Terms (if you're using the Service on behalf of a company).
- Provide accurate and complete information when creating your account and keep it up to date.
- Not be barred from using the Service under the laws of any applicable jurisdiction.
We may require additional verification to confirm your identity, your business, or your authority to act on behalf of a business.
3. Your business account
3.1 Account ownership
Your business account belongs to your business. The individual who creates the account is responsible for ensuring the business has agreed to these Terms and for managing team access.
3.2 Team members
You can invite team members to your business account. You're responsible for what they do with the Service, including any payments they initiate, any recipients they add, and any changes they make to your business settings.
3.3 Security of credentials
You're responsible for keeping your login credentials, 2FA factors, and API keys secure. Notify us immediately at security@vernsa.com if you believe your account has been compromised.
3.4 Accurate information
The information you provide about your business, your team, and the payments you initiate must be accurate. Providing false or misleading information can result in suspension or termination.
4. Using Vernsa for Business
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use Vernsa for Business for your business's internal purposes.
You agree to use the Service only in ways that are lawful and consistent with these Terms. This includes using it only for legitimate business purposes and only in compliance with all applicable laws, regulations, and industry requirements.
5. Payments, payouts & Send Code
5.1 Payments
You can send money through Vernsa for Business using supported identifiers — including bank accounts, phone numbers, emails, usernames, and supported crypto wallet addresses. Availability of specific identifiers or corridors may vary.
5.2 Payouts
Payouts initiated through Vernsa for Business are typically processed quickly but may take longer depending on the destination. Once a payout has settled, it cannot be reversed by Vernsa.
5.3 Send Code
Send Code lets you generate one-time codes that can be claimed by recipients to receive money. Each code is one-time use only, has an expiry you choose when creating it, and can be cancelled by you before it is claimed. If a code expires unclaimed, the reserved amount is returned to your balance.
You're responsible for sharing codes only with the intended recipient. Anyone who possesses an unclaimed code can claim it — treat codes like cash.
5.4 Limits & verification
Transaction limits depend on your business tier, verification level, and the specific corridor. We may require additional verification before allowing higher limits. Limits are visible in your dashboard.
5.5 Errors
If you believe a payment or payout has been made in error, contact us at support@vernsa.com immediately. We'll work with you and the relevant partner to resolve it as quickly as possible.
6. Fees & pricing
Fees for Vernsa for Business are disclosed on our pricing pages and in your dashboard. We may update fees from time to time — material changes will be communicated in advance.
You are responsible for any taxes, duties, or levies that apply to your use of the Service in your jurisdiction.
7. Prohibited uses
You agree not to use Vernsa for Business to:
- Violate any law, regulation, or court order.
- Facilitate fraud, money laundering, terrorist financing, or other financial crime.
- Send or receive money on behalf of a business or person you are not authorised to represent.
- Send or receive funds related to illegal goods or services.
- Circumvent, disable, or interfere with security, rate limiting, or access controls.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
- Use automated means to access the Service other than through our documented API.
- Impersonate another business or person.
- Introduce malware, viruses, or other harmful code.
- Interfere with other users' access to the Service.
- Use the Service in a way that could harm Vernsa, Apaxaa, our partners, or our users.
We may suspend or terminate your access if we reasonably believe you have engaged in any of these activities.
8. Intellectual property
Vernsa for Business — including its design, code, trademarks, and content — is owned by Apaxaa and its licensors and is protected by intellectual property laws. Nothing in these Terms transfers ownership of any Vernsa or Apaxaa intellectual property to you.
You retain ownership of the content and data you upload or provide to the Service. By using the Service, you grant us a limited licence to use that content only to operate and improve the Service.
9. Third-party services
Vernsa for Business uses third-party services — including banks, payment processors, identity verification providers, and hosting providers — to deliver features. Your use of the Service may also be subject to those providers' terms. We're not responsible for the acts or omissions of third-party providers beyond what the law requires.
10. Disclaimers
Vernsa for Business is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any information obtained through the Service will be accurate or reliable.
Nothing on this website constitutes financial, legal, or tax advice. Please consult your own advisors for advice specific to your situation.
11. Limitation of liability
To the maximum extent permitted by law, neither Vernsa, Apaxaa, nor their directors, officers, employees, agents, or partners will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.
Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid to us in the twelve months preceding the claim, or (b) the amount required by applicable law.
Nothing in these Terms limits any liability that cannot be limited under applicable law.
12. Indemnity
You agree to indemnify and hold harmless Vernsa, Apaxaa, and their respective directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service.
- Your breach of these Terms.
- Your violation of any law or third-party right.
- Any content or data you provide to the Service.
13. Suspension & termination
You can close your business account at any time from your dashboard. Before closing, ensure all pending transactions are complete and your balance is withdrawn.
We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, engaged in prohibited activity, or if we are required to do so by law or by a partner.
On termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnity — will continue to apply.
14. Changes to these terms
We may update these Terms from time to time — for example, when we launch new features, change the Service, or when the law changes. When we make material changes, we'll notify you by email or in-app before the changes take effect.
Continuing to use Vernsa for Business after changes take effect means you accept the updated Terms. If you do not agree, you should stop using the Service.
15. Governing law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Nigeria.
